The ANZCA Constitution
The Australian and New Zealand College of Anaesthetists (or the ‘College’) is a company limited by guarantee under Corporations Law.
ANZCA’s Constitution ( 180 kB) consists of two parts, (a) The Memorandum of Association of ANZCA, and (b) the Articles of Association.
The Memorandum of Association sets out the form, reasons for, and purpose of, the College. It defines the objectives of the College and lists the powers vested in the corporate entity to achieve those objectives. Income and property accrued by the College shall be applied solely to achieve the stated purposes.
The Memorandum requires financial accounts to be kept and audited annually by an external auditor.
The Articles of Association, by contrast, describe the operations of the College. They begin with a series of definitions, and then go on to describe Membership, the composition and functioning of the Council, and elections to Council. The Articles cover a wide range of operational areas, including the Powers of the Council, Admission of Fellows, Subscriptions, Termination and Suspension of Fellowship, Discipline, Expulsion, Reinstatement, Postal Ballots, etc.
Any changes to the Memorandum or Articles must be approved by the Australian Securities and Investments Commission (ASIC).
Mission Statement
The Mission of the College is:
To serve the community by fostering safety and quality patient care in anaesthesia, intensive care and pain medicine.
The Mission Statement guides all the activities of the College, including training, examinations, assessment, hospital and training program accreditation, etc. It also lists the objectives that flow from the mission statement and the means by which the College can achieve these objectives.
