34.1 Purpose and Scope
This Regulation details arrangements for the establishment of the Board of the ANZCA Foundation, as a Committee of the College.
As a fellowship based organisation, the College commits to ensuring the highest standard of medical care in anaesthesia, intensive care and pain medicine for the community we serve through excellence in education, training, professional development and research.
34.2 Background
The ANZCA Foundation has been established by the College for many years to raise and disperse funds for education and research. The College has deductible gift recipient status in Australia and New Zealand, and may receive donations on a tax deductible basis.

This Regulation formalises the structure for the coordination and management of the Foundation and establishes a Board to act in an advisory capacity to oversee, monitor, promote and provide advice in relation to the Foundation.
34.3 Foundation
The College maintains, as a separate account, a Foundation for the receipt of funds and for the application of funds, to support education and research.
34.4 Objectives of the Foundation
The objectives of the Foundation are:
34.4.1 To raise funds for medical education and research in Australia, New Zealand and internationally.
34.4.2 To foster contributions to the Foundation from Fellows, medical colleagues, industry and philanthropic organisations;
34.4.3 To support the College’s international projects and activities;
34.4.4 To promote and raise awareness of anaesthesia, intensive care medicine and pain medicine education and research.
34.5 The Board of the Foundation
34.5.1 The College establishes a separate Committee (“the Board”) for the purposes set out in these Regulations.
34.5.2 The Board shall consist of up to 10 members. The Council may appoint up to two (2) additional members for a fixed term if thought appropriate to add persons with specific skills, experience or representation.
34.5.3 The President of the College and the Chair of the Research Committee of the College should be ex officio members of the Board.

34.6 Powers and Purposes of the Board
Under delegation from the Council of the College, the Board has the following functions and powers:
34.6.1 To advise the Council of the College in relation to the promotion, management and activities of the Foundation;
34.6.2 To undertake promotional activities to support the Foundation;
34.6.3 To assist the College in seeking contributions to the Foundation from Fellows, medical colleagues, industry and philanthropic organisations;
34.6.4 To enhance the profile of the Foundation;
34.6.5 To otherwise provide advice in relation to the Foundation, at the request of the College.
34.7 Board
34.7.1 Members of the Board (other than ex officio members) shall be appointed by Council, and hold office for three (3) years from the date of his or her appointment by Council, and upon expiry of that term may be reappointed. Members of the Board may be reappointed for a maximum of two (2) additional terms of three (3) years each.

34.7.2 The Board may exercise all such powers and do all such acts and things as the Board is by this regulation or otherwise authorised by Council to exercise and do.
34.7.3 In addition to all other powers and functions, the Board may:-
34.7.3.1 do all things that are necessary or convenient to enable it to perform its functions; and
34.7.3.2 invite persons with special knowledge or expertise to attend a Board meeting to advise the committee on matters related to its functions.
34.7.4 A member of the Board shall, be appointed by Council as Chairperson of the Board.
34.7.5 In the event of a vacancy in the office of Chairperson, the Council shall, appoint some other person to fill the vacancy.
34.7.6 A member of the Board may resign from office by delivering a signed letter of resignation to the College.
34.7.7 A member of the Board may be removed at any time by resolution of Council, and another person appointed in his or her place.
34.8 Finance
34.8.1 All payments shall be made in the manner prescribed by the College.
34.8.2 The Board shall establish bank accounts for the ANZCA Foundation in Australia and New Zealand as required under the College Constitution.
34.8.3 The Board Shall arrange for appropriate accounts to be kept and financial reports to be presented to the College Council from time to time.
34.8.4 Donations or gifts received in New Zealand shall, to the extent required by law, be retained in a separate bank account in New Zealand and applied solely for the purposes for which they were intended.
